Legal requirements
Members of the Board of Directors may be elected and elected by those merchants, natural or legal persons, who have uninterruptedly held the status of Affiliate during the last two (2) calendar years prior to March 31, 2026 and who, as of the date of the election, retain this status in order to be included in the electoral roll; This requirement means that a person must have acquired the status of Affiliate no later than April 1, 2024, in accordance with Official Letter 303-057028 of the Superintendency of Companies. Affiliates are those merchants registered in the Commercial Registry who, as a consequence of the free private autonomy of association, request membership and comply with the special requirements and conditions provided for in the articles 12 and 13 of Law 1727 of 2014.
At the time of voting, the identity of the Affiliates authorized to vote will be verified. Natural persons will vote in person. Legal entities will vote only through any of their legal representatives registered in the Commercial Registry. Affiliates authorized to vote may do so through the channel of their choice:
In the virtual mechanism, the voter must enter the platform that we will soon publish with their virtual key and complete the authentication mechanism provided through biofacial authentication or temporary code sent to a Colombian mobile telephone number with an international code +57 or to a registered email.
In the in-person mechanism, the identity will be verified by the Voting Jury. Colombian citizens may only identify themselves with a citizenship card, in any of its valid formats. Voting with a password, driver's license or other document will not be allowed. Foreign nationals must identify themselves with a Passport, Immigration Card or Temporary Protection Permit (PPT), provided that the document matches the one registered in the Commercial Registry or allows the Voting Jury to verify in a clear and unequivocal manner that it is the same qualified voter.
Candidates for members of the Board of Directors, in addition to being part of the electoral roll, must comply with the following requirements established in the article 85 of the Commercial Code: (i) be a Colombian citizen in the exercise of his political rights, (ii) not have been punished for any of the crimes indicated in article 16 of the aforementioned Code, (iii) be domiciled in Bogotá D.C. or in any of the municipalities under the jurisdiction of the Chamber of Commerce of Bogotá, (iv) be a person of recognized good repute and, (v) not hold the position of member of the Board of Directors in another Chamber of Commerce. (What follows is left the same from “The members of the Board (…until…) in article 9 of Law 1727 of 2014.
Those interested in registering lists of candidates must submit their registration within the deadlines established for the electoral process, complete the published forms in their entirety and comply with the application rules provided for in article 2.2.2.38.3.2 of Decree 1074 of 2015, so that the registration can be studied and processed by the Chamber of Commerce of Bogotá
The registration of the candidate lists will be subject to compliance with the following rules:
The lists must contain a maximum of 8 lines.
Each line must be made up of a main member and a personal substitute.
Both the main candidate and the substitute, as well as their respective legal representatives, must meet all the requirements required to participate in the elections.
No candidate may be registered on more than one list, either as the main candidate or as a substitute.
The candidates who make up the list must identify themselves as follows:
When it is a natural person, the full name and citizenship card number will be indicated.
When it is a legal entity, the company name and NIT will be indicated.
With the registration of the list, the duly completed proof of acceptance form must be attached for each candidate, principal or alternate.
When the candidate is a legal entity, its legal representative must certify the qualities and conditions. required to be a member, except for the commercial registration requirement and its renewal.
Affiliates who wish to apply as candidates for membership of the Board of Directors must complete the forms published below in their entirety and present them to the Chamber of Commerce of Bogotá in the terms indicated in this link detailing the place and deadline for the registration of candidate lists.
