In an ordinary meeting held on January 16, 2025, the Board of Directors of the Bogota Chamber of Commerce elected Dr. Enrique Vargas Lleras of Vargas Abogados y Cía. Ltda. as president, and Dr. Juan Pablo Fajardo Rodriguez of ART Books Ediciones SAS as vice-president.
On December 1, 2022, elections were held for the Board of Directors of the Bogota Chamber of Commerce, which is composed of twelve (12) principal members with their respective alternates, of which eight (8) are elected by the business community and four (4) are delegated by the National Government.
Legal requirements for electing and being elected as a member of the Board of Directors
Members of the Board of Directors may be elected and elected by those merchants, natural persons or legal entities (through their legal representatives), who have uninterruptedly held the status of Affiliate during the last two (2) years prior to March thirty-one (31), 2026 and maintain it until election day. (Given that March 31, 2024 corresponded to a holiday and not a business day, the Superintendency of Companies, through Official Letter 100-020643 with file 2023-09-031589, warned that the deadline to comply with the obligation to renew public records was extended until (April 1, 2024) 2014.
At the time of voting, the identity of the voters will be verified. Natural persons will vote in person. Affiliated legal entities will vote only through any of the people who hold the status of legal representative registered in the commercial registry. In both cases, the voter will be identified at the time of voting only with the citizenship card, immigration card or passport that corresponds to the document registered in the commercial registry. The vote is personal, non-delegable and non-transferable, therefore, no type of power to vote will be accepted.
Candidates for members of the Board of Directors, in addition to being members and holding said status during the two (2) years prior to March 31, 2026, must meet the following requirements established in Article 85 of the Commercial Code:
Have Colombian citizenship in the exercise of their political rights.
Not having received sanctions for any of the crimes indicated in Article 16 of the Commercial Code, which refers to crimes against property, public faith, the national economy, industry and commerce or for smuggling, unfair competition, usurpation of industrial property rights or writing checks without provision of funds or against account cancelled.
Have domicile in Bogotá or in any of the 58 municipalities within the jurisdiction of the Chamber of Commerce of Bogotá.
Be a person of recognized good repute and not have been elected to the Board of Directors of another Chamber of Commerce.
In accordance with Article 9 of Law 1727 of 2014, natural or legal persons who are subject to the disabilities and incompatibilities established in Law 80 of 1993, Law 734 of 2000, Law 1150 of 2007, Law 1474 of 2011 and other regulations that add or modify them. Regarding the fulfillment of the public functions assigned to the Chambers of Commerce, natural or legal persons who are in any of the following circumstances may not be members of the boards of directors:
Be part of the same business group, declared in accordance with current legal provisions, to which another member of the Board of Directors belongs.
Have participation in or manage companies that have the status of parent company, subsidiary or subordinate company of another member company of the Board of Directors of the Chamber of Commerce of Bogotá.
Be a partner of another company that is a member of the Board of Directors of the Bogotá Chamber of Commerce.
Be a partner or manage a company in which any official of the Bogotá Chamber of Commerce has participation, with the exception of companies whose shares are traded on the public stock market.
Have had sanctions with a declaration expiration or expiration due to repeated non-compliance by a state entity in the last five (5) or three (3) years, respectively.
Be a spouse, permanent partner or have a relationship within the third degree of consanguinity, second degree of affinity or civil relationship with any other member of the Board of Directors.
Be a spouse, partner or permanent partner or have a relationship within the third degree of consanguinity, second degree of affinity or civil relationship with any official of the Chamber of Commerce of Bogotá.
Exercise public office.
Have held public office during the calendar year prior to March thirty-one (31), 2026, within the specific jurisdiction of the respective Chamber of Commerce of Bogotá.
Have belonged to national or local decision-making bodies within the parties or legally recognized political associations during the calendar year prior to March thirty-one (31), 2026.
Having aspired to popularly elected positions during the calendar year prior to March thirty-one (31), 2026, within the jurisdiction of the respective Chamber of Commerce of Bogotá.
Having had sanctions for serious offenses related to non-compliance of the statutes, ethical standards and good governance of any Chamber of Commerce, during the previous period.
Paragraph. The causes provided for in paragraphs 9, 10 and 11 only apply to the members of the Board of Directors elected by the affiliates.
