• This service allows a maximum of 10 shareholders. All shareholders must sign electronically to complete the process. The electronic signature will be provided by the Chamber of Commerce of Bogotá.

• If any of the shareholders does not sign, the process cannot be completed.

About the statutes

• The system automatically generates a standard model of statutes (pro forma), in accordance with Law 1258 of 2008.

• It is not possible to attach your own statutes in this process or edit certain articles.

Responsibilities in the RUT (DIAN)

• During the process you must select the tax responsibilities of your company. Check here the official details.

• You must choose a single tax regime: 05 – Ordinary regime 47 – Simple Taxation Regime (SIMPLE)

• These regimes are exclusive, so they cannot be selected at the same time.

• Select only the responsibilities that correspond to your economic activity.

• For this process it is not recommended to select code 52 (Electronic invoicing), since it is subsequently managed before the DIAN, according to the obligation.

• It is also not recommended to select code 10 (Customs User), because it requires additional validations directly with the DIAN.

• This choice has relevant tax effects, so it is recommended to validate it previously with your accountant or advisor tax.
